1. Parties and Acceptance · 协议主体与接受

These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and [Company Full Name] ("Anima", "we", "us", "our"), the operator of the Anima mobile application and related services (collectively, the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of the Service · 服务描述

2.1 Nature of the Service · 服务性质

Anima is an AI-driven conversational companion application. Responses are generated by artificial-intelligence models and reflect those models' training data and the conversation history associated with your account. Output is machine-generated and may contain inaccuracies; you should not rely on it as a statement of fact.

Anima 是一款由人工智能驱动的对话伴侣应用。回复由人工智能模型生成，受模型训练数据及你账户对话历史的影响。输出内容为机器生成，可能存在不准确之处，不应作为事实陈述依据。

2.2 What the Service Is Not · 服务非属事项

The Service is not:

• A licensed therapist, psychologist, counselor, or other mental-health professional · 持牌治疗师、心理学家、咨询师或其他心理健康专业人员
• A medical, psychiatric, or crisis-intervention service · 医疗、精神病学或危机干预服务
• A substitute for professional mental-health support · 专业心理健康支持的替代品
• A legal, financial, tax, or other professional advisor · 法律、财务、税务或其他专业顾问
• A factual reference, news source, or authoritative information source · 事实参考、新闻来源或权威信息来源

If you are experiencing a mental-health crisis, thoughts of self-harm or harm to others, or any emergency, you must immediately contact qualified emergency or mental-health services.

如你正在经历心理健康危机、有自伤或伤他想法，或处于任何紧急情况，必须立即联系合格的紧急或心理健康服务。

2.3 Automated Safety Notice · 自动安全提示

When the Service detects language suggesting imminent risk to life, the Service will display a notice referring to the crisis resources listed above and encourage the user to contact qualified emergency or professional services. The Service does not provide and cannot substitute for professional crisis intervention.

当本服务检测到暗示生命即时风险的语言时，将显示提示信息并提供上述危机资源，建议用户联系合格的紧急或专业服务。本服务不提供且无法替代专业危机干预。

3. Eligibility and Account · 资格与账户

3.1 Eligibility · 资格

You must be at least 18 years old to register an account or use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

你必须年满 18 周岁方可注册账户或使用本服务。创建账户即代表并保证你符合此年龄要求并具备订立本协议的法律行为能力。

3.2 Access Method · 访问方式

The Service is currently available on an invite-only basis. Access requires a valid invitation code.

本服务目前采用邀请制。访问需要有效的邀请码。

3.3 Account Security · 账户安全

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly at security@withanima.ai of any unauthorized access or other security breach affecting your account.

你应负责保管账户凭证的机密性，并对账户名下发生的所有活动负责。如发生未经授权的访问或其他影响你账户的安全事件，你应通过 security@withanima.ai 及时通知我们。

3.4 Single Instance per Account · 单账户单实例

Each account is associated with one (1) AI companion instance. The instance is non-transferable and may not be duplicated or shared.

每个账户对应一（1）个 AI 伴侣实例。该实例不可转让、不可复制或共享。

4. Consent for Sensitive Personal Information · 敏感个人信息同意

Where the processing of your personal information requires separate, explicit consent under applicable law (including, for users in Mainland China, Article 28 of the Personal Information Protection Law ("PIPL"); and for users in the European Union, Article 9 of the GDPR), we obtain such consent through a dedicated consent interface presented during account registration, independently from these Terms and the Privacy Policy.

You may withdraw any such consent at any time by emailing privacy@withanima.ai. Withdrawal will trigger account deletion under Section 6, as continued operation of the Service is not technically feasible without the underlying consent.

当依据适用法律（包括中国大陆用户适用的《个人信息保护法》第二十八条、欧盟用户适用的 GDPR 第九条）处理你的个人信息需要单独、明示同意时，我们将在注册流程中通过独立于本协议及《隐私政策》的专门同意界面取得该同意。

你可随时通过发送邮件至 privacy@withanima.ai 撤回该同意。撤回后将触发第 6 节项下的账户注销程序，因为在缺少该等同意的情况下继续提供本服务在技术上不可行。

5. Your Content and License · 你的内容与许可

5.1 Ownership · 所有权

You retain all rights to the content you submit to the Service, including but not limited to messages, voice recordings, and any text or images you provide ("User Content").

你对你提交至本服务的内容保留全部权利，包括但不限于消息、语音录音、你提供的任何文本或图像（"用户内容"）。

5.2 License to Operate the Service · 为运营服务所需的许可

You grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, display, and use your User Content solely for the purposes of operating, maintaining, and improving the Service for you, including generating Service responses and maintaining your conversation history. This license terminates when you delete your account, subject to the retention obligations described in Section 6.

你授予我们一项有限、非排他、免版税的全球许可，允许我们托管、存储、处理、传输、展示和使用你的用户内容，仅用于为你运营、维护和改进本服务，包括生成服务回复及维护你的对话历史。该许可在你删除账户时终止，并受第 6 节所述保留义务的约束。

5.3 AI-Generated Output · AI 生成内容

Output generated by the Service ("Output") is produced by artificial-intelligence models and is not authored by us. Rights in Output are determined by the applicable law of your jurisdiction.

For users in Mainland China: pursuant to current law, AI-generated content does not constitute a work under the Copyright Law of the People's Republic of China. You may use Output for personal, non-commercial purposes within your use of the Service.

Output is labeled as AI-generated where required by the Interim Measures for the Administration of Generative Artificial Intelligence Services (《生成式人工智能服务管理暂行办法》). We take reasonable measures designed to ensure that Output does not infringe third-party rights.

本服务生成的内容（"输出"）由人工智能模型产生，并非由我们创作。输出的权利由你所在司法管辖区的适用法律确定。

中国大陆用户：根据现行法律，AI 生成内容不构成《中华人民共和国著作权法》项下的作品。你可在使用本服务的范围内将输出用于个人、非商业目的。

我们将根据《生成式人工智能服务管理暂行办法》要求对输出标识为 AI 生成内容，并采取合理措施，旨在确保输出不侵犯第三方权利。

6. Account Deletion and Data Removal · 账户注销与数据删除

6.1 Initiating Deletion · 发起注销

You may request deletion of your account at any time through the in-app account-deletion function or by emailing privacy@withanima.ai.

你可随时通过应用内账户注销功能或发送邮件至 privacy@withanima.ai 申请注销账户。

6.2 Deletion Timeline · 删除时间表

Upon receipt of a verified deletion request:

1. Your account is deactivated immediately and the Service becomes inaccessible to you.
2. Within thirty (30) days, all personal data associated with your account is physically deleted from our active systems, including conversation history, memory records, voice recordings, user profile, and session records.
3. Account deletion is irreversible after the 30-day window has elapsed.

收到经验证的注销请求后：

1. 你的账户立即停用，本服务对你不再可用。
2. 三十（30）天内，与你账户关联的所有个人数据将从我们的活动系统中物理删除，包括对话历史、记忆记录、语音录音、用户画像及会话记录。

6.3 Cancellation Window · 撤回窗口

You may cancel a pending deletion request within the 30-day window by emailing privacy@withanima.ai. After the window closes, cancellation is no longer possible.

你可在 30 天窗口期内通过发送邮件至 privacy@withanima.ai 撤回未完成的注销请求。窗口期届满后无法撤回。

6.4 Legal Retention Exceptions · 法律保留例外

A limited subset of data (for example, records required for tax, anti-money-laundering, fraud investigation, or legal proceedings) may be retained beyond the 30-day window in a separate, access-controlled archive that is not accessible to the application, for the minimum period required by applicable law.

少量数据（例如税务、反洗钱、欺诈调查或法律程序所需的记录）可能在 30 天窗口期之后保留于一个单独的、应用无法访问的受控存档中，保留期限为适用法律要求的最短时间。

7. Acceptable Use · 可接受使用

You agree not to use the Service to:

• Violate any applicable law or regulation · 违反任何适用法律法规
• Infringe the intellectual-property, privacy, or other rights of any third party · 侵犯任何第三方的知识产权、隐私或其他权利
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity · 冒充任何个人或实体，或虚报你与任何个人或实体的关系
• Harass, threaten, defame, or harm any other person · 骚扰、威胁、诽谤或伤害他人
• Attempt to access another user's account or data · 试图访问其他用户的账户或数据
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the Service's underlying model weights, system prompts, or source code · 对本服务的底层模型权重、系统提示或源代码进行逆向工程、反编译、反汇编或以其他方式试图提取
• Use the Service to develop, train, or improve any competing AI system or product · 使用本服务开发、训练或改进任何竞争性 AI 系统或产品
• Use automated means (bots, scrapers, etc.) to access or interact with the Service, except as expressly permitted · 使用自动化手段（机器人、爬虫等）访问或与本服务交互（明确允许的除外）
• Transmit any virus, malware, or other malicious code · 传输任何病毒、恶意软件或其他恶意代码
• Use the Service for any commercial purpose without our prior written consent · 未经我们事先书面同意将本服务用于任何商业目的

We reserve the right to suspend or terminate your access for any violation of this Section.

我们保留对任何违反本节规定的行为暂停或终止你的访问权限的权利。

8. Service Changes, Suspension, and Termination · 服务变更、暂停与终止

8.1 Service Modifications · 服务修改

We may modify, suspend, or discontinue all or any portion of the Service at any time. Where a change materially and adversely affects your data or core functionality, we will provide at least thirty (30) days' prior notice through in-app notification and, where you have provided one, email, except where:

• Immediate action is required by law or court order; or
• Immediate action is required to address a security incident or operational emergency.

我们可随时修改、暂停或终止本服务的全部或任何部分。若变更对你的数据或核心功能产生重大不利影响，我们将通过应用内通知及（在你已提供电子邮件时）邮件，提前至少三十（30）天通知你，但下列情况除外：

• 法律或法院命令要求立即采取行动；或
• 安全事件或运营紧急情况要求立即采取行动。

8.2 Service Discontinuation · 服务终止

If we permanently discontinue the Service, we will provide at least ninety (90) days' prior notice, during which you may download a record of your conversation history before deletion begins.

若我们永久终止本服务，我们将提前至少九十（90）天通知你，期间你可下载你的对话历史记录，之后开始删除。

8.3 Termination by Us · 我们的终止权

We may suspend or terminate your account immediately, with or without notice, if we reasonably determine that you have materially violated these Terms or applicable law, or that your continued access poses a risk to other users or the Service.

如我们合理判断你已严重违反本协议或适用法律，或你继续访问会对其他用户或本服务造成风险，我们可不经通知或经通知后立即暂停或终止你的账户。

9. Disclaimers and Limitation of Liability · 免责声明与责任限制

9.1 Disclaimers · 免责声明

To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted availability.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure;
• Output will be accurate, reliable, or suitable for any particular purpose; or
• Defects in the Service will be corrected.

在适用法律允许的最大范围内，本服务按"现状"和"可用状态"提供，不附带任何明示或默示的保证，包括但不限于适销性、特定用途适用性、非侵权、准确性、可靠性或不间断可用性的保证。

我们不保证：

• 本服务将不间断、无错误或安全；
• 输出将准确、可靠或适合任何特定用途；或
• 本服务中的缺陷将被修正。

9.2 Limitation of Liability · 责任限制

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of goodwill, arising out of or in connection with your use of the Service, regardless of the legal theory.
• Our aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred US dollars (US$100.00).

Nothing in this Section limits any rights or remedies you may have under applicable consumer-protection law that cannot be excluded or limited by contract.

在适用法律允许的最大范围内：

• 我们不对因你使用本服务而产生的或与之相关的任何间接、附带、特殊、后果性、惩罚性或惩戒性损害承担责任，包括利润损失、数据损失或商誉损失，无论基于何种法律理论。

10. Governing Law and Dispute Resolution · 适用法律与争议解决

10.1 For Users in Mainland China · 中国大陆用户

本协议的订立、生效、解释、履行及争议解决适用中华人民共和国法律（不含香港、澳门特别行政区及台湾地区法律）。因本协议或使用本服务产生的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权将争议提交[注册地]有管辖权的人民法院诉讼解决。

10.2 For Users Outside Mainland China · 中国大陆以外用户

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by [Arbitration Body] under its then-current rules, seated in [Seat of Arbitration] and conducted in [Language]. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

You and we agree that any claim shall be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, to the extent permitted by applicable law.

11. Changes to These Terms · 本协议的变更

We may update these Terms from time to time. We will notify you of material changes through:

• In-app notification at least thirty (30) days before the effective date; and
• Email, if you have provided one.

If you do not agree to the updated Terms, you may delete your account under Section 6 before the effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

我们可不时更新本协议。我们将通过下列方式就重大变更通知你：

• 生效日期前至少三十（30）天的应用内通知；以及
• 在你已提供电子邮件时，邮件通知。

如你不同意更新后的协议，你可在生效日期前依据第 6 节注销你的账户。生效日期后继续使用本服务即视为接受更新后的协议。

12. Miscellaneous · 一般条款

12.1 Entire Agreement · 完整协议

These Terms, together with the Privacy Policy and any consent interfaces presented at registration, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject matter.

本协议、《隐私政策》以及注册时提供的任何同意界面，共同构成你与我们就本服务订立的完整协议，并取代任何在先就同一事项达成的协议。

12.2 Severability · 可分割性

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

如本协议任何条款被认定为不可执行，其余条款仍具有完全效力。

12.3 No Waiver · 不弃权

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment · 转让

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.

未经我们事先书面同意，你不得转让或让与本协议。我们可将本协议转让予关联方，或在合并、收购、重组或资产出售相关情况下转让。

12.5 Language · 语言

These Terms are provided in English and Simplified Chinese. In the event of any inconsistency between the two versions, the Chinese version governs for users in Mainland China, and the English version governs for all other users.

本协议提供英文与简体中文版本。两版本如有不一致，中国大陆用户以中文版为准，其他用户以英文版为准。
